Bylaws For The Damage Inc 4x4 Club:
Article I
This organization shall be known as the Damage Inc 4x4 Club
Article II
Objectives
The Damage Inc 4x4 club is organized as a not-for-profit organization for the purpose of:
a. Providing social, educational, and recreational activities for its membership.
b. Participating in and supporting civic and environmental activities for the betterment of the
community
Article Ill
Membership and Dues
Owners of all make and models of street legal four-wheel drive vehicles or Trailer Brought are
eligible for membership in the Damage Inc 4x4 Club.
The total number of memberships shall not exceed 100 at any one time. Each membership
includes the member paying dues only.
All members must conduct themselves in a respectable and orderly fashion whether in or out of
Club activities. Any members disgracing themselves in the public eye will be subject to immediate
expulsion from the Club, subject to decision of the club President and Vice President.
Any application must be approved by a member in good standing, with the club President and Vice President.
Applicants for membership must hold a valid driver’s license, and must have property liability (PL)
& property damage (PD) insurance coverage on their street legal vehicles. However, if your
vehicle is not street legal and is brought to the trails on a trailer, insurance is not required but you
are legally responsible for any damage done to any other vehicle or property.
Applicants for membership must attend a Club Meeting and a Club Ride prior to consideration for
membership. The Membership form must be completed and given to the club President and Vice President along with the Waiver Form, Emergency Form and the current year’s dues before membership
may be granted.
Dues for this organization shall be paid per membership, per year, in an amount established by
the membership, payable in advance. Renewal dues for current members are due a year from
when date of joining. Effective June 1st 2009,( for each upcoming year) the renewals will be
due for all members no matter when they joined. Any member whose dues are three months in
arrears shall be dropped from membership. Nothing herein contained shall prevent reinstatement
of a delinquent member upon payment in full of their unpaid dues.
Members that do not attend meetings or clubs events will be responsible to keep in contact with
the club through telephone or email with club President or Vice President.
Members shall immediately notify the club Secretary of any change of address, mailing address, or telephone number.
Resignation of any member shall be in writing and submitted to the club President.
When a member no longer possesses a four-wheel drive vehicle, their membership in this
organization shall terminate after three months.
Article IV
Business Meetings
Meetings of the membership of the Damage Inc 4x4 Club shall be held the 2nd weekend of
every other month (Feb, April, June, August, October, December) and places as designated and announced by the President via telephone or email. Meetings may be re-scheduled at the discretion of the club President and announced to the members via telephone or email.
Article V
Administration of Officers
The officers of the Damage Inc 4x4 Club shall consist of a President, Vice President, Treasurer/Promotions and Secretary shall be known as the Executive Committee. It shall be their duty to draw up agenda for all board and business meetings, and it shall be their further duty to assume the functions of the Board of Directors in cases of emergency.
The Board of Directors shall consist of the members of the Executive Committee, and directors elected by the membership. Each director shall be assigned one or more committees and it shall be their duty to represent such committees on the board. The Board of Directors shall have the authority to take any action necessary to fulfill the aims of this organization without first obtaining the agreement of the membership.
The President, Vice President, Treasurer may succeed themselves in office.
No officer shall be added to the club except by the vote of the majority of the entire membership
of the club.
Article VI
Duties and Powers of Officers
The PRESIDENT shall preside over all membership and board meetings and be present at all
events when possible. He/She shall be the executive officer and shall have the duty to carry out
all the policies and decisions of the Board of Directors. He/She shall be without right of vote on
the Board of Directors except in the event of a tie. He/She shall sign all checks with the
Treasurer unless both are members of the same family.
The VICE PRESIDENT shall, in the absence of the President, serve in that capacity. He/She shall
also serve as a Parliamentarian and perform such other duties as may be assigned by the Board
of Directors.
The TREASURER shall keep accurate and complete records of the funds and accounts of this
organization, and shall collect all dues and maintain a record thereof. He/she shall make only such
disbursements from the funds of the organization as are directed by the Board of Directors.
Article VII
Indemnification Against Liability:
The organization shall indemnify and hold harmless each person who shall serve at any time hereafter as a director or officer of the organization from and against any and all claims and liabilities to which such person shall become subject by reason of his having heretofore or hereafter been a director or officer of the organization, or by reason of any action alleged to have been heretofore or hereafter taken or omitted by him/her as such director or officer, and shall reimburse each such person for all legal and other expenses reasonably incurred by him in connection with any such claim or liability. The rights accruing to any person under the foregoing provisions of this section shall not exclude any other right to which he may be lawfully entitled, nor shall anything herein contained restrict the right of the organization to indemnify or reimburse such person in any proper case even though not specifically herein provided for. The organization, it’s directors, and officers shall be fully protected in taking any action or making any payment, or in refusing so to do, in reliance upon the advice of counsel. The Board of Directors shall, within its sound business judgment and discretion, have the power to purchase and maintain insurance on behalf of any person who is or was a director, officer, employee, or agent of the organization, or is or was serving at the request of the organization as a director or officer of another organization, partnership, joint venture, trust or other enterprise against any liability asserted against him and incurred by him in any such capacity, or arising out of his status as such, whether or not the organization would have the power to indemnify him/her against such liability.
Article VIII
Expenditures and Finance
All monies received from all sources shall immediately be turned over to the Treasurer to be
deposited in the checking account of the Damage Inc 4x4 Club.
The Treasurer is authorized to pay non-budgeted expenditures up to fifty dollars ($50) without the
prior approval of the Board of Directors or the membership. The treasurer may pay single non-budgeted
expenditures over fifty dollars ($50) and up to one hundred dollars ($100) with the prior
approval of a majority of the Board of Directors. Single non-budgeted expenditures in excess of
one hundred dollars ($100) must have prior approval of a majority of the membership present and voting at a scheduled quarterly meeting. All checks must have two(2) signatures to be valid. All expenditures shall be made by check, and all checks must indicate purchase.
Article IX
Election of Directors
The membership shall meet and elect Directors for every five(5) fiscal years at the first business meeting.
The newly elected Directors shall take office at the start of the next month after being elected.
Voting shall be in person, and not by proxy or mail.
The candidates for Directors must be regular members in good standing. The candidates for the
office of Treasurer must be bondable, any bond required by the club to be paid for by the club.
Nominations may be announced prior to the election by mail, to each member who is in good
standing, at least two weeks prior to the general election. At all elections, nominations for each
and every office of this organization may be made from the floor.
A majority of votes cast is necessary for election to an office or position on the Board of Directors.
In the event of a vacancy in the office of Vice President or Treasurer, an election shall be called
to elect a successor. In the event of a vacancy on the Board of Directors, the Board shall elect a
successor.
Article X
Recall
Any Director of the Damage Inc 4x4 Club may be recalled by a two third majority vote of the
entire membership.
Article XI
Events
All events shall be subject to the approval by the Board of Directors. Events will be run under the
supervision of a Trail Boss appointed by the Board of Directors.
All events must be conducted in an orderly manner and with safety as the prime factor.
Anyone determined to be under the influence of alcohol or mind-altering drugs during any club
event is subject to immediate dismissal from the club.
All members, including the President, Vice President, Treasurer are responsible to the direction of
the appointed Trail Boss and his/’her appointed assistants throughout the determined duration of
an event.
No provisions are to be made to permit any member to join an event at any time or location if that
provision decidedly interrupts the designated time schedule or plan for the event.
Any events held on private property must have property owner permission, and will be subject to
liability releases. Any Guest under the age of eighteen (18) must be accompanied by or have
written permission of a parent or guardian to drive in any club event. Members must take full
responsibility for their guests.
Vehicles may be subject to inspection varying according to the Requirements list. The vehicle
shall be considered disqualified if found to be mechanically unsafe or if Requirements are not
met.
All members and guests participating in an event shall abide by the Motor Vehicle Code of the
State concerned, and by the laws and regulations of the city, the county, or the circumstances
involved.
During club sponsored trail rides, members in good standing may invite as many guests as their
vehicle will carry, but no more than one guest driving an additional off road vehicle that has
passed our technical inspection. Exceptions to this will only be made in unusual circumstances
with approval of the Board of Directors. This will assure that no club sponsored trail ride has too
many participants, which affects the convenience and safety of those participating. Additionally,
members inviting a guest driving his/her vehicle shall notify the Trail Boss of this guest prior to the
trail ride. When a given trail ride is particularly popular (i.e. Many vehicles are expected) the Trail
Boss may ask members to refrain from inviting additional guests with their own vehicles. All
Members and Guests need to have the Waiver and Emergency forms (keep Emergency form in
glove box) filled out and reviewed before they are allowed to ride with Club.
Article XII
Rules and Procedures
Unless otherwise specified, Rules of Order shall govern parliamentary procedure.
Article XIII
Amendments
These By-Laws may be amended by: the Directors, Vice President and President at a regular
business meeting. Any proposed amendment to the By-Laws must be presented to the
membership by email at least four (4) weeks prior to the regular membership meeting.
